Fractional SEC Reporting

Senior SEC expertise, on your filing calendar

Public company reporting asks one role to master SEC filings, internal controls, technical accounting and policy, while FASB and SEC rules change every year. A full-time hire with that range is expensive and hard to find.

Everest fills the fractional CFO, controller and SEC reporting roles, scaled to your filing calendar, so every 10-Q, 10-K and proxy goes out accurate and on time.

What the role covers

One seat spans SEC filings, controls, technical accounting and policy. We cover all of it, with the depth and hours each quarter needs.

SEC reporting. Quarterly 10-Q, annual 10-K, proxy statement and 8-Ks, plus support for S-1, S-3 and S-8 registration statements and XBRL tagging.

404(a) and internal controls. Control design, testing and a clean management assessment, run with your auditor when 404(b) attestation applies. See ICOFR and SOX 404.

Accounting policy. Adoption of new standards, policy changes over time, and technical memos on revenue, leases, stock comp, debt and equity.

M&A accounting and integration. Purchase accounting, policy alignment after the deal, pro forma financials and audited statements for acquired businesses.

Regulatory change. New FASB and SEC rules tracked and adopted on time, from segment and income tax disclosures to cybersecurity and clawback policy.

Close, audit and SEC comments. Close calendar, auditor requests, Audit Committee materials and responses to SEC comment letters, managed to the filing deadline.

Why fractional

One seat, every specialty. Filings, controls, technical accounting and M&A work from one team, instead of several hires or a patchwork of consultants.

Current on every rule. We track FASB and SEC changes across many registrants, so your filings reflect each new rule.

Senior skill, part-time cost. Pay for filing-season peaks, not a year-round salary. A later hire inherits a clean setup.

Proof

Track record, one example of many: a clean Year 1 404(a) management assessment on a 12-process build with more than 200 controls, and three material weaknesses remediated in 9 months.
